Role Summary

We are seeking a commercially driven Legal Counsel to lead legal across the business, with a primary focus on record label and music rights transactions. This role will own the drafting, negotiation, and structuring of artist, songwriter, distribution, and publishing agreements, while also supporting broader corporate, commercial, and strategic initiatives including M&A and catalog transactions.

This is a hands-on role suited to someone who can operate as a business partner, not just a reviewer — balancing legal risk with deal velocity.

Key Responsibilities

Entertainment, Business Affairs & Rights

• Draft, review, and negotiate:
• Artist recording agreements
• Producer and songwriter agreements
• Distribution & Publishing agreements
• Advise on rights ownership structures across master and composition.
• Structure and negotiate advances with artists, producers, distributors, and publishers.
• Support A&R and finance teams in evaluating deal economics and risk.
• Oversee rights clearance of samples, splits and contributor agreements.

M&A, Catalog & Strategic Transactions

• Support and lead legal aspects of:
• Music catalog acquisitions and sales
• Joint ventures, partnerships, and strategic investments
• Internal restructurings (e.g., IP transfers between entities)
• Assist with:
• LOIs, term sheets, and definitive agreements
• Due diligence
• Closing processes and post-closing obligations
• Coordinate external counsel on complex transactions while maintaining internal ownership of deal flow.

Corporate & Commercial Contracts

• Draft, review, and negotiate:
• SaaS and technology agreements
• Vendor and services agreements
• NDAs and confidentiality agreements
• Employment and contractor agreements
• Insurance and risk-related documentation

Risk Management & Legal Operations

• Identify and clearly communicate legal and commercial risk.
• Develop internal playbooks regarding deal structures, advance guidelines, and fallback positions.
• Manage and optimize use of external counsel.

Cross-Functional Leadership

• Partner with A&R, finance, operations, and executive team on deal strategy.
• Provide real-time guidance on structuring deals to align with business objectives.
• Translate legal complexity into clear commercial recommendations.

Required Qualifications

• JD or equivalent; member in good standing with a Canadian law society.
• 4–8+ years experience with exposure to:
• Entertainment, media, or IP-heavy industries
• Corporate/commercial law
• Demonstrated experience drafting and negotiating complex agreements.
• Strong understanding of financial terms in agreements.
• Ability to operate independently in a fast-paced environment.
