To support its dynamic growth across North America, Toromont is seeking a Legal Counsel who will be an active contributor to Toromont's Legal Team which provides strategic legal, regulatory and compliance advice on a wide range of public company, corporate/commercial, M&A and governance matters to the business. Reporting to Toromont's Chief Legal Officer and Corporate Secretary ("CLO") and working collaboratively with Toromont's senior Legal Team, the Legal Counsel will partner seamlessly with a wide range of key stakeholders including business partners and external counsel to ensure Toromont's continued growth and success.

Toromont's incoming Legal Counsel will have approximately 2-4 years of legal experience and a background in corporate/commercial, securities law and/or M&A. Exposure to large public company work, ideally in manufacturing, construction, mining or similar industrial sectors is an asset. With combined firm and/or in-house experience, the Legal Counsel will actively provide corporate/commercial legal support including employment and operational issues, acquisitions, financings, regulatory and other key matters that impact Toromont's many lines of business. This will include reviewing, negotiating and drafting a substantial amount, and wide range of, commercial contracts including procurement, supply, services, real estate, sales and vendor agreements as well as coordinating and assisting in due diligence processes, public company filings and providing claims management support and resolution. Strategic, with sound business judgment, and a focus on providing efficient, invaluable legal advice to the business, the Legal Counsel is able to quickly identify key legal and business risks while providing pragmatic solutions for the business.

In good standing, able to practice law in Ontario and/or Quebec and with excellent interpersonal and relationship-building skills, the Legal Counsel has experience working with a dynamic Legal Team within a fast-paced, high volume environment. Able to work independently and effectively collaborate with a seasoned Legal Team, the incoming Legal Counsel has the ability to quickly understand Toromont's business drivers and needs and is able to proactively prioritize and deliver results for the team.
