Role Description
FOG is looking for a Senior Corporate Counsel / Corporate Counsel (the "Position") who will be an integral member of the FOG legal team. The Position will be responsible for supporting the legal needs of FOG generally (i.e. for all business units comprising the FOG portfolio of companies), each comprised of several unique businesses covering a broad range of jurisdictions, but primarily North America, UK and Europe, on a variety of commercial and transactional matters across these portfolios. In the Position, you will work closely with members of the senior management team within each sub-portfolio of FOG. The successful candidate will report to the head of legal at FOG and will also work closely with the FOG legal team in executing M&A transactions and other duties.
Office location is in Toronto (near Spadina and Adelaide), and the Position would be required to be in the office at least 2-3 days per week, though this may be reduced over time. Duties and Responsibilities
- Provide a full suite of legal advisory services to the portfolios, including the review and negotiations of a broad range of commercial contracts on behalf of various internal lines of business, such as technology and intellectual property licensing, SaaS, hosting, cloud, professional services, support services and service level agreements, consulting services, leases, purchasing, distribution, reseller, revenue share among others.
- Support (and pretty quickly start to lead) corporate acquisitions by participating in or coordinating due diligence and integration activities in conjunction with the Corporate Counsel, General Counsel and FOG's M&A deal team.
- Negotiate and draft M&A transaction documents.
- Facilitate legal entity management and corporate governance related issues and work closely with other regional legal experts who provide legal entity support.
- Develop, draft and implement appropriate corporate compliance policies and processes.
- Work with business lines to develop and maintain standard form agreements for products and services offered by the company in support of pivotal initiatives and in the ordinary course.
- Work effectively with external counsel.
- Assist where needed on other legal matters from time to time.
Qualifications
- Qualified legal professional with at least 5 years of relevant legal working experience.
- Admission to practice law in Canada or the U.S.
- Knowledge and experience in drafting, negotiating, structuring and advising on private M&A, and various types of commercial contracts and other transactions, in particular, relating to software licensing and related services.
- Good overall understanding of intellectual property law and other technology-related legal principles is an asset.
- Outstanding critical thinking skills, integrity and written and verbal communication, negotiation and drafting skills.
- Excellent analytical and problem-solving skills and attention to detail.
- Team oriented and able to establish relationships with all levels of the organization.
- Ability to self-manage.

Salary ranges are determined through interviews and a review of education, experience, knowledge, skills, abilities of the applicant, equity with other team members, and alignment with market data.
